Publisher Agreement (draft outline)
A working draft outline for owner and legal review. It is not in effect, is not offered for acceptance, and is not required for inquiries or applications. Production onboarding will require the approved agreement.
Parties and scope
BillyConnect is operated by Leadgen Network Organization, Inc., 30771 Milford Rd, New Hudson, MI 48165. The agreement will govern approved publishers who install Billy on approved websites.
Approved traffic methods
Only traffic sources disclosed and approved during onboarding may be used. New sources, domains or placements require written approval.
Prohibited activity
No bots, scripts, incentivized or fabricated interactions, cookie stuffing, misleading ads, spam, or placement on unapproved sites. Publishers may not misrepresent Billy, advertisers or offers.
Fraudulent calls and form leads
Calls, forms or clicks that are fabricated, duplicated, self-generated, incentivized or otherwise invalid earn no commission and may lead to reversal, suspension and recovery of amounts paid.
Publisher responsibilities
Maintain lawful website content and privacy disclosures, keep the embed code unmodified, cooperate with fraud reviews, and comply with consumer-protection, telemarketing and privacy laws applicable to their traffic.
Payment calculation
Commissions are calculated only on qualifying revenue that BillyConnect has verified with the advertiser or partner and actually collected. Quoted bids, clicks or unverified conversions are not revenue.
Adjustments and reversals
Revenue later reversed, refunded, charged back or found invalid will be deducted from the publisher balance, including after payment.
Commission holds
Commissions are held for a review period before becoming payable. Holds may be extended for new publishers, unusual patterns or open investigations.
AI usage quotas
Each widget has usage and AI-cost limits. Abnormal usage may be throttled or suspended to protect the network.
Account suspension and termination
BillyConnect may suspend widgets, withhold held commissions under review, or terminate participation for violations, risk signals or legal requirements.
Confidentiality
Pricing, advertiser, buyer, routing and performance information is confidential and may not be disclosed.
Compliance
Both parties will comply with applicable law, including TCPA, CAN-SPAM, state privacy laws and advertiser requirements. Detailed obligations, payment schedules, minimums and legal terms require attorney approval.
